1. About these Terms
These Terms of Service govern your access to and use of debtsify.com and any related pages, forms, portals, and communications operated by Debtsify Capital Private Limited ("Debtsify", "we", "us", "our").
By accessing this website, submitting an inquiry, or engaging with us through any form on this site, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please do not use the website or submit information to us.
These Terms apply to the website and to preliminary engagement. Any actual credit facility is governed by separate transaction documents, not by these Terms.
2. Who we are
Debtsify Capital Private Limited is a private limited company incorporated in India.
3. What Debtsify is, and what it is not
This section is important. Please read it carefully.
Debtsify is not a bank. We do not accept deposits of any kind.
Debtsify is not registered with the Reserve Bank of India as a Non-Banking Financial Company. We do not hold a Certificate of Registration under Section 45-IA of the Reserve Bank of India Act, 1934.
Debtsify is not the lender. We arrange and structure capital introductions between companies seeking credit and third-party capital providers, which may include RBI-registered Non-Banking Financial Companies, Alternative Investment Funds, family offices, and other private capital providers. Any credit facility you receive is extended by that capital provider, not by Debtsify.
Debtsify is not a loan aggregator, marketplace, or comparison platform for retail borrowers. Our engagement is with companies, not with individual consumers seeking personal credit.
Debtsify does not provide investment, legal, tax, or accounting advice. Nothing on this website or in our communications constitutes advice of that nature. You should obtain independent professional advice before entering into any financing arrangement.
Where this website or our materials describe capital being "deployed" within a stated timeframe, this describes the timeline of the arrangement process we operate. It is not a commitment that capital will be made available to you, and it does not mean Debtsify is the source of that capital.
4. No offer and no guarantee of credit
Submitting an inquiry, sharing documents, or meeting our Investment Committee does not create any obligation on Debtsify or on any capital provider to extend credit to you.
Any indicative terms discussed at any stage are preliminary, non-binding, and subject to completion of diligence, internal approval by the relevant capital provider, satisfactory documentation, and availability of capital. Preliminary terms may be varied or withdrawn at any time before binding transaction documents are executed.
Debtsify does not guarantee that a facility will be offered, that it will be offered on any particular terms, or that it will be offered within any particular timeframe.
5. Eligibility
To use this website and engage with us, you confirm that:
- You are at least 18 years of age and legally competent to contract under the Indian Contract Act, 1872.
- You are acting on behalf of a company or entity incorporated or registered in India, and you are duly authorised to share that entity's information with us and to bind it to these Terms.
- The entity meets the revenue and operating criteria we publish from time to time. Meeting those criteria does not entitle you to a facility.
- You are not accessing this website from, or on behalf of an entity located in, a jurisdiction where doing so would be unlawful.
We may decline any inquiry at our discretion and are not obliged to give reasons.
6. Information you provide
You agree that all information, documents, and data you submit to us is accurate, complete, current, and not misleading in any material respect.
You confirm that you have the authority and, where required, the lawful basis or consent to share any third-party information contained in those documents with us, including personal data of directors, promoters, employees, or customers.
We rely on the information you provide. Providing false, incomplete, or misleading information may result in immediate termination of engagement, and may have consequences under applicable law.
7. Sharing your information with capital providers
To arrange capital, we will need to share information about your company with one or more prospective capital providers.
By engaging with us, you authorise us to share the information and documents you submit with prospective capital providers, professional advisers, and service providers acting on our behalf, for the purpose of assessing and structuring a potential facility.
Where that information includes personal data, our handling of it is governed by our Privacy Policy.
You may withdraw this authorisation at any time by writing to us at hello@debtsify.com. Withdrawal will ordinarily mean we can no longer progress your inquiry.
8. Your relationship with capital providers
If a capital provider offers you a facility, your relationship with that provider will be governed by transaction documents executed directly between you and that provider.
Debtsify is not a party to those documents unless expressly stated. We are not responsible for:
- The terms, pricing, covenants, or conditions offered by any capital provider.
- The performance, conduct, solvency, or regulatory compliance of any capital provider.
- Any dispute between you and a capital provider.
- Any decision by a capital provider to approve, decline, vary, or withdraw a facility.
You should read all transaction documents carefully and take independent advice before signing.
9. Fees and remuneration
Debtsify may receive a fee in connection with an arranged facility. That fee may be payable by you, by the capital provider, or by both, depending on the structure of the transaction.
The basis and amount of any fee payable by you will be disclosed to you in writing before you become obliged to pay it. We do not charge fees for submitting an initial inquiry.
Where we receive remuneration from a capital provider, we will disclose that fact to you on request.
10. Partner and referral arrangements
Where you are introduced to us by a chartered accountant, investment banker, wealth manager, or other referral partner, that partner may receive a fee from us in connection with a completed transaction.
Referral partners are not authorised to make representations on our behalf, to commit us to any terms, or to accept documents or payments in our name.
11. Communications
By providing your contact details, you consent to us contacting you by email, telephone, SMS, and messaging applications in connection with your inquiry and our services.
This consent applies even if your number is registered on the National Do Not Call Registry, to the extent permitted under applicable Telecom Regulatory Authority of India regulations, and is limited to communications relating to your engagement with us.
You may withdraw consent to marketing communications at any time by writing to hello@debtsiy.com. We may continue to send communications necessary to service an active engagement.
12. Confidentiality
We treat information you share with us as confidential and use it only for the purposes described in these Terms and our Privacy Policy.
We do not publish, sell, or licence your company information to marketers.
Where we publish case studies or market commentary, we do so on an anonymised basis and without detail that would reasonably identify your company, unless you have given prior written consent.
13. Intellectual property
The website, its content, design, text, graphics, logos, and the Debtsify name and marks are owned by or licensed to Debtsify and are protected under applicable intellectual property law.
You may view and print content for your own internal business use. You may not reproduce, republish, distribute, sell, or create derivative works from any part of the website without our prior written consent.
Nothing on this website transfers any right, title, or interest in our intellectual property to you.
14. Acceptable use
You agree not to:
- Use the website for any unlawful purpose or in breach of any applicable law.
- Submit false, fraudulent, or impersonated information.
- Attempt to gain unauthorised access to any part of the website, our systems, or any data not intended for you.
- Introduce malicious code, or interfere with the operation, security, or availability of the website.
- Scrape, crawl, harvest, or systematically extract content or data from the website without our written consent.
- Use the website or our materials to develop a competing service.
15. Third-party links
The website may contain links to third-party websites. Those links are provided for convenience only. We do not control, endorse, or accept responsibility for the content, accuracy, or practices of any third-party site.
16. Availability of the website
We aim to keep the website available but do not guarantee uninterrupted access. We may suspend, withdraw, or restrict all or part of the website for business, operational, or security reasons, with or without notice.
17. Disclaimers
The website and its content are provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we exclude all representations, warranties, and conditions, whether express or implied, in relation to the website and its content, including as to accuracy, completeness, currency, fitness for purpose, and non-infringement.
Market data, statistics, and commentary published on this website, including on our blog, are provided for general information only, carry the source and date stated, and may have changed since publication. They do not constitute advice or a recommendation.
18. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Indian law, including liability for fraud or fraudulent misrepresentation.
Subject to that, to the maximum extent permitted by law, Debtsify shall not be liable for:
- Any indirect, incidental, special, punitive, or consequential loss.
- Loss of profit, revenue, business, opportunity, goodwill, or anticipated savings.
- Loss or corruption of data.
- Any loss arising from a capital provider's decision, conduct, or terms.
- Any loss arising from your reliance on information published on this website.
19. Indemnity
You agree to indemnify and hold harmless Debtsify, its directors, officers, employees, and agents against any claim, loss, liability, cost, or expense (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Information you submitted that was false, misleading, or shared without the necessary authority or consent.
- Your use of the website in breach of applicable law or third-party rights.
20. Suspension and termination
We may suspend or terminate your access to the website and discontinue any engagement immediately, without notice, if we reasonably believe you have breached these Terms, provided false information, or acted unlawfully.
Sections 12, 13, 17, 18, 19, 21, 22, and 24 survive termination.
21. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of India.
Subject to Section 22, the courts at Gurugram shall have exclusive jurisdiction.
22. Dispute resolution
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably by written notice from one party to the other, with a period of thirty days to reach resolution.
Failing amicable resolution, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Gurugram. The language of arbitration shall be English. The arbitral award shall be final and binding.
Counsel note: confirm whether a binding arbitration clause is appropriate for this business and whether the sole-arbitrator appointment mechanism should be specified.
Because Debtsify is not an RBI-regulated entity, complaints against us do not fall within the RBI Integrated Ombudsman Scheme. If your complaint concerns a facility extended by an RBI-regulated capital provider, you may have recourse to that provider's grievance mechanism and, where applicable, to the RBI Ombudsman.
24. Changes to these Terms
We may amend these Terms from time to time. The current version will always be published on this page with the "Last updated" date shown at the top.
Material changes will take effect 15 days after publication. Continued use of the website after that date constitutes acceptance.
25. General
Severability. If any provision is held invalid or unenforceable, the remaining provisions continue in full force.
Waiver. A failure or delay in enforcing any right is not a waiver of that right.
Assignment. You may not assign your rights under these Terms. We may assign ours to a successor entity on notice.
Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Debtsify in relation to the website.
No partnership. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
